D. Lgs. n. 231/2001 and
Supervisory Body

FM Metal Fasteners Group S.p.A. has adopted, pursuant to Legislative Decree no. 231/2001, an "Organizational, Management and Control Model" aimed at preventing the commission of certain crimes, as indicated by the legislation itself.

 

The Model provides for the implementation of a preventive control system articulated in specific operational protocols which, together with the procedures already existing and applied by the Company, are aimed at guiding the work activity of individuals operating in business processes deemed at risk.

 

Furthermore, it constitutes a tool through which the Company, in carrying out its mission, undertakes to contribute, in accordance with the laws and principles of loyalty and fairness, to the social and economic development of the territory and citizens through the organization and provision of business activities.

 

The Code of Ethics is an integral part of the Organizational, Management and Control Model. Drafted in accordance with Legislative Decree 231/2001, it prescribes principles and rules of corporate behavior considered binding for the recipients.

Additionally, pursuant to Article 6 of Legislative Decree 8 June 2001 no. 231 and subsequent amendments and additions relating to the regulation on the administrative liability of legal entities, FM Metal Fasteners Group S.p.A. has also appointed a Supervisory Body with the task of overseeing the implementation of the Organizational, Management and Control Model, taking care of its subsequent updates and monitoring the functioning and compliance of the control processes.

 

The composition of the Supervisory Body is multi-subjective, consisting of Avv. Alessandra Iotti (President) and internal member Andrea Bevini.
